Terms of Service

1. Scope

These Terms of Service ("Terms") apply to the use of the website Vemvuand all related services. The operator of the website is Kevin Baur (hereinafter "we" or "Provider").

By registering via email (Magic Link) or using our services, you agree to these Terms.

2. Description of Services

Vemvu is an automation tool for Chaturbate models and content creators. When you go live on Chaturbate, Vemvu automatically posts your "I'm live!" message to your connected social channels (X, Telegram, Discord, and more).

The service provides links and references to third-party websites and platforms (e.g. Chaturbate) which may contain sexually explicit material intended for adults only. Vemvu does not host, produce, or control any such content. We do not control and are not responsible for the content, availability, or practices of any third-party website. Users must ensure that accessing such content is legal in their jurisdiction before using this service.

• Launch Deal (after open beta): Paid subscription at $9/month or $99/year (for the first 50 users). Includes X and Telegram connections, with Discord and Reddit coming soon.
• Subscription will be required for full functionality once the open beta ends.

Vemvu is a digital subscription service. No physical goods are shipped.

3. Contract Formation & Payment Processing

Important notice regarding the contracting party:

Our order process and payment handling are carried out by our authorized third-party payment service providers (the "Merchant of Record" or "Payment Processor").

When you purchase a paid product ("Vemvu subscription") or subscribe to it:

• You are legally purchasing the product from our authorized Merchant of Record.
• In addition to these Terms, the Terms of Service of the respective payment processor apply.
• All payment processing, invoicing, and tax handling are carried out securely by the designated payment provider.

4. Subscriptions (Vemvu)

Vemvu is offered as a subscription with recurring billing (e.g. monthly at $9 or yearly at $99). The following applies in addition to section 3:

• Billing & renewal: Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.
• Cancellation: You may cancel your subscription at any time via the subscription management link provided in your Vemvu dashboard or through the customer portal of our respective payment processor. Cancellation takes effect at the end of the current billing period.
• Access after cancellation: You retain access to subscription features until the end of the paid period. After that, your access will end and automatic posting to X, Telegram, Discord, etc. will no longer be available.
• Refunds: We do not refund fees for the current or past billing periods when you cancel. Refunds may be considered on a case-by-case basis (goodwill) as stated in section 5.
• Price changes: We may change subscription prices for future billing periods. We will notify you in advance (e.g. by email or on the website). If you do not agree, you may cancel before the new price takes effect. Continued use after the change constitutes acceptance of the new price.

5. Right of Withdrawal & Refunds

A. 7-Day Money-Back Guarantee (New Subscribers)

New subscribers may request a full refund within 7 calendar days of their initial subscription purchase. This applies to both monthly and annual plans. To request a refund under this guarantee, contact us at vemvu@kevin-baur.com within 7 days of purchase with your order details.

B. Renewals & Subsequent Billing Periods

After the initial 7-day period, subscription fees for the current or past billing periods are non-refundable. You retain full access to all features until the end of the paid period. We encourage you to cancel before your next renewal date if you no longer wish to continue.

C. Annual Plans

Annual subscriptions are eligible for the 7-day money-back guarantee. After the 7-day window, no pro-rated refund is issued for unused months. We recommend starting with a monthly plan if you are unsure.

D. Exceptions — No Refund

Refunds will not be issued in the following cases:

• The account was suspended or terminated due to a violation of our Terms of Service or Content Policy.
• The refund request is made after the 7-day guarantee period.
• The subscription was purchased through a promotional or discounted offer that explicitly excluded refunds.

E. How to Request a Refund

Send your refund request to vemvu@kevin-baur.com with the subject line "Refund Request" and include:

• Your registered email address
• Your order or transaction ID
• The reason for your request (optional, but appreciated)

Approved refunds are processed within 5–10 business days via the original payment method. Processing times may vary depending on your bank or payment provider.

6. User Obligations & Prohibited Content

You agree to:

• Connect only your own Chaturbate account and social media accounts (X, Telegram, Discord, etc.).
• Not use the services in an abusive manner (e.g., via scripts or bots that overload our API).
• Not exploit security vulnerabilities.
• Ensure that all content distributed through Vemvu — including automated messages and links — complies with all applicable laws in your jurisdiction and the destination platform's terms of service.

Prohibited Uses — Zero Tolerance

The following are strictly prohibited and will result in immediate account termination:

• Child Sexual Abuse Material (CSAM): Using Vemvu to distribute, promote, or link to any content depicting minors in a sexual context is strictly prohibited and constitutes a criminal offence. Any such use will result in immediate account termination and reporting to the National Center for Missing and Exploited Children (NCMEC) and relevant law enforcement authorities without prior notice.
• Non-Consensual Content: Distributing links or references to content depicting individuals without their explicit consent (e.g. revenge porn, voyeuristic recordings) is strictly prohibited.
• Illegal Content: Using Vemvu to promote, distribute, or link to any content that is illegal under applicable law — including but not limited to content involving minors, trafficking, or exploitation — is strictly prohibited.
• Impersonation & Fraud: Posting content that impersonates another person or entity, or that is intended to deceive or defraud users.
• Spam & Unsolicited Content: Using Vemvu to send unsolicited bulk messages or to circumvent platform rate limits.

For any other breach of these Terms, we reserve the right to suspend or terminate your account immediately and without prior notice, at our sole discretion.

7. Limitation of Liability

We strive to keep Vemvu available at all times but cannot guarantee uninterrupted availability (e.g., in the event of Chaturbate or social media API outages such as X or Telegram).

Liability for slight negligence is excluded, except in cases of a breach of essential contractual obligations or damage to life, body, or health.

Vemvu is not responsible for the content, accuracy, legality, or availability of any third-party website linked to or referenced through our service. Any use of third-party platforms is solely at the user's own risk and subject to the respective platform's terms and policies. It is the user's sole responsibility to ensure that their use of Vemvu and any connected third-party platforms complies with all applicable laws in their jurisdiction.

8. Changes to the Terms

We reserve the right to amend these Terms at any time. Changes will be published on the website. Continued use of the website after changes take effect constitutes acceptance of the new Terms.

9. Governing Law & Jurisdiction

Austrian law applies. The place of performance and jurisdiction is Vienna, to the extent permitted by law.

10. Severability Clause

Should individual provisions of this contract be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions.
